Our Professional Standards :: How We Work Together

Consultation

Except in unusual circumstances, iDiz will make one free, introductory visit to a prospective client. Subsequent calls should be part of a billable assignment, unless both parties agree otherwise.

Speculative work

Clients should not ask for work to be done "on speculation" -- i.e., to have the assignment contingent on approval of the work. Speculative work is subject to widespread abuse, increases prices, and is otherwise unprofessional.

Estimates

When sufficient information is provided, iDiz will prepare a written estimate of assignment schedule, costs, and terms and conditions. When sufficient detailed information is not provided, pricing will be based on an hourly labor rate. No assignment will be started without a signed acceptance of the estimate or proposal, or a purchase order authorization. If the scope or nature of a project changes to such an extent that the original estimate no longer applies, a new estimate will be provided.

Billing

The client has the right to expect that the price on an estimate or proposal, plus additional expenses and taxes, will be the invoiced price unless otherwise appended, verbally or in writing, before invoicing. Projects will be billed 1/2 upon starting, 1/2 upon completion unless specified. (Please note that some printers and outside vendors bill according to their industry's standard terms where the job may be overrun, or in some cases shorted, and billed by a margin of +/-10%. In these cases we will bill accordingly.) Our invoices are subject to applicable taxes. Estimates do not reflect taxes unless specified. Shipping, freight and delivery charges are not normally included on the estimate, but will be added to the final invoice. Invoices are billed as net 30 days. Unpaid invoices will be charged interest at the rate of 2% per month, or 24% annually. Should we be forced to retain attorneys to collect our invoices, their fees and court costs, as well as interest charges, will be paid by you.

Confidentiality

The client can expect that any information or material provided will be treated confidentially, and that all reasonable efforts will be taken to safeguard it. If requested, iDiz will sign a nondisclosure agreement.

Conflict of Interest

iDiz will not work for two clients who are directly competitive. Where there is concern about conflict of interest, iDiz will ask the first client if it is permissible to also accept the work of the second.

Ownership

"The final finished product (brochure, web site, logo, etc.) created by iDiz becomes, after payment, the property of the client, except in the case of illustration or photography or where otherwise indicated. By law, we cannot re-use (or release to you) any original creative work by other artists without their permission. Should you desire extended, exclusive or unlimited rights, we can negotiate for those rights on your behalf.

Unless otherwise specified or negotiated, all rights for original concepts, designs, illustrations, writings and other creative services provided by iDiz remain the property of iDiz. iDiz retains authorship, and shall receive credit on the final results whenever possible (iDiz © 2006 or year created). All preparatory materials (unused concepts, sketches, artwork, mechanical files, computer files, etc.) remain the property of iDiz."

Outside Services and Materials

We prefer to coordinate such items as talent, film work, typography, printing, production, media space or time, and purchases relating to projects. This places responsibility with us and gives you the advantage of consistent purpose and quality. When we contract an outside service or buy materials on your behalf, we retain all approval privileges in order to obtain the highest quality results. We will bill you for our time and materials accordingly. iDiz is not responsible for the end result and/or quality level of services or materials that you choose to purchase or coordinate independently.

Schedules

We make every effort to provide services and materials so they will coordinate with deadlines. We are not responsible for changes that are beyond our control or are a result of delays in receiving information or materials. If you request services or materials on a tighter schedule than normal or previously agreed upon, any additional costs incurred and rush charges may be reflected in billings.

Approvals

It is the sole responsibility of the client to review all material before production and to attest to its accuracy. In the event that we sustain a loss as a result of a claim, suit or proceeding brought against you as a result of the publication, reproduction, or broadcast of material which you approved of and authorized us to produce for you, you agree to indemnify us for any such losses.

Non Use

In accordance with accepted professional services practice, the client is financially obligated for work done, whether or not it is utilized. In the event of dissatisfaction, iDiz would resign at the earliest possible date and make an effort to find another firm to continue.
